Service partner listing terms

1. Parties and purpose

These terms are between Freemaint LLC, a Wyoming limited liability company, 30 N Gould St Ste R, Sheridan, WY 82801, USA ("FreeMaint", "we") and the company that applies to be listed ("Partner", "you").

FreeMaint publishes a directory of independent companies that offer services around the FreeMaint software: setup and data migration, team training and maintenance consulting. These terms govern your application and your listing.

2. What a listing is — and is not

A listing is a directory entry. It does not create a partnership, joint venture, agency, franchise, employment or exclusive relationship. You act in your own name and cannot bind FreeMaint.

Being listed is not a certification or an endorsement of your services beyond the fact that we reviewed your application.

3. Application and review

The information you provide must be accurate and kept up to date. We review every application by hand and may accept, refuse, suspend or remove a listing at our discretion, without having to give reasons. We have no obligation to list anyone.

4. Your services and your clients

You quote, contract, deliver and invoice your own services directly with your clients. FreeMaint is not a party to those contracts, takes no commission on them and is not responsible for their quality, price, payment, taxes or any dispute about them.

You are responsible for the licences, insurance and legal obligations that apply to your activity.

FreeMaint subscriptions remain between FreeMaint and each customer.

5. Access to customer workspaces and data

You may access a customer’s FreeMaint workspace only when that customer invites you, and only within the rights the customer grants. You act on the customer’s instructions and are responsible to that customer for the data you access. FreeMaint is not responsible for how you handle a customer’s data.

6. Conduct

You must not present yourself as FreeMaint, as its employee or agent, or as certified, endorsed or exclusive. You must not make promises on FreeMaint’s behalf about features, prices, roadmap, availability or service levels, and you must not send unsolicited bulk messages in connection with your listing.

7. Use of the FreeMaint name

While you are listed, you may state that you are "listed in the FreeMaint service partner directory" and link to the directory. Any other use of the FreeMaint name or logo requires our written permission. This permission ends with your listing.

8. Directory content

You allow FreeMaint to publish your company name, contact e-mail, website, country, languages, services and description in the directory, and you confirm you have the right to share them. You may ask us at any time, in writing, to correct or remove your entry. References you provide during the application are kept private and used only for the review.

9. Featured placement

FreeMaint may offer an optional, paid featured placement for a period agreed in writing. Featuring ends at the end of that period and does not imply any endorsement. No refund is due if a listing is suspended or removed because these terms were breached.

10. Affiliate program

The directory never carries affiliate codes. If you bring new customers to FreeMaint yourself, you may join the FreeMaint affiliate program separately, under its own terms.

11. Sanctions and compliance

Freemaint LLC is a U.S. person. We do not list companies located in, or owned or controlled by persons located in, jurisdictions subject to comprehensive U.S. sanctions, nor parties named on U.S. sanctions lists. You confirm that this does not apply to you and that you comply with applicable anti-bribery and export-control laws.

12. No warranty; limitation of liability

The directory is provided "as is". We do not guarantee any number of contacts, clients or revenue. To the extent permitted by law, FreeMaint is not liable for indirect or consequential damages, and its total liability under these terms is limited to the amounts you paid FreeMaint for featured placement during the twelve months before the claim.

13. Indemnity

You will indemnify FreeMaint against claims arising from your services or from your breach of these terms.

14. Changes and ending the listing

We may update these terms by publishing a new version on this page; keeping your listing after the update means you accept it. Either party may end a listing at any time by written notice, including by e-mail.

15. Governing law and contact

These terms are governed by the laws of the State of Wyoming, USA, and the state and federal courts located in Wyoming have exclusive jurisdiction. Contact: contact@freemaint.com.
