1. Terms of Use
These terms govern your use of FreeMaint CMMS software and services.
2. Core forever free — paid tiers from $29/mo flat per company for advanced features
The Core CMMS that's free forever — no per-user fees, no credit card, unlimited users. Work orders, assets, inventory, preventive maintenance — all included. Advanced modules (HSE, Purchase Orders, Workflows, AI Pro) optional from $29/mo.
3. User Responsibilities
You agree to use our services in compliance with all applicable laws and regulations. You may not use our services for illegal, harmful, or abusive purposes.

5. Data and Content
You retain ownership of all data you upload to our services. We do not claim ownership of your content but may need to access it to provide technical support.
6. Service Availability
We strive to maintain high availability of our services but cannot guarantee uninterrupted access. Scheduled maintenance will be announced in advance.
7. Payment & Billing
FreeMaint offers a free Core plan and paid subscriptions (Starter, Business, Enterprise, On-Premise). Pricing displayed on the public pricing page is authoritative.
Merchant of Record: Paid subscriptions are processed by a third-party Merchant of Record (MoR) acting as the legal seller of record. The MoR collects payment, calculates and remits applicable taxes (VAT, GST, sales tax) on our behalf, and issues invoices in compliance with local tax laws of the customer's jurisdiction.
Auto-renewal: All paid subscriptions renew automatically at the end of each billing cycle (monthly or annual) unless canceled before the renewal date. You may cancel at any time from your account settings or by contacting us. Cancellations take effect at the end of the current paid period — no partial-period refunds are issued.
Failed payments: If a recurring payment fails, the MoR will retry the charge for up to 14 days. During this grace period, your account remains active. If payment is not received after retries, your account may be downgraded to the free Core plan or suspended. You will receive email notifications throughout this process.
Taxes: Applicable taxes are calculated by the MoR based on the customer's billing country and added to the displayed price. For B2B customers in the EU with a valid VAT ID, reverse-charge applies (no VAT collected).

8. Subscription Terms
Each paid subscription tier (Starter $29/mo, Business $99/mo, Enterprise $299/mo, On-Premise $200/mo) grants access to a defined set of features documented on the pricing page. Feature availability is enforced server-side at the time of use.
We reserve the right to modify pricing, features, or limits with 30 days' written notice via email to your account contact. Existing subscriptions remain at the price in effect at the time of subscription until renewal, except where Founding Partner pricing applies (locked rate guaranteed for the duration of the active subscription).
If you downgrade your subscription tier, the new tier takes effect at the next billing cycle. You retain access to higher-tier features until the end of your current paid period. Data created on higher tiers (such as multi-asset PMs, custom fields, advanced reports) remains accessible in read-only mode after downgrade.
Either party may terminate the subscription at any time. Upon termination, your account is downgraded to the free Core plan and your data remains available for export for 90 days, after which it may be permanently deleted in accordance with our retention policy.
9. Intellectual Property
FreeMaint software and related documentation are protected by intellectual property laws. You may use the software freely but may not redistribute or modify it without permission.
10. Limitation of Liability
Our liability is limited to the maximum extent permitted by law. We are not liable for any indirect, incidental, or consequential damages arising from your use of our services.
11. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of our services or violation of these terms.
12. Termination
Either party may terminate this agreement at any time. Upon termination, your access to the services will be discontinued, but you may export your data.
13. Governing Law
These terms are governed by the laws of the Republic of Tunisia. Any dispute arising from these terms shall be submitted to the exclusive jurisdiction of the competent courts of Nabeul, Tunisia, where FreeMaint is headquartered. The parties may agree in writing to alternative dispute resolution (mediation, arbitration) before initiating legal proceedings.
14. Changes to Terms
We may update these terms from time to time. We will notify users of material changes and the updated terms will take effect after a reasonable notice period.
